Archil Giorgadze advises clients on general corporate matters, local and cross-border merger and acquisition transactions, complex commercial matters, foreign investments, project financing and regulation issues, as well as commercial arbitration. He is experienced in analyzing national laws and regulations, drafting contractual frameworks, and negotiating with potential investors and government authorities on public private partnerships.

In the 2018 and 2017 editions of Chambers Global and Chambers Europe, Mr. Giorgadze is recommended in the Georgia: General Business Law category and is noted for his visibility on M&A deals. He is described as “well experienced and always eager to help and solve problems.” Mr. Giorgadze is noted for his work in the Georgian legal market in The Legal 500 EMEA, 2017 and is cited as “responsive, attentive and professional” in The Legal 500 EMEA, 2016. He was recognized as a leading individual in Chambers Global, 2015, with the directory describing him as “very proficient” and “really devoted.” He is also ranked in Chambers Europe, 2015. He serves as an adjunct professor of law at Tbilisi Free University Law School and has been teaching there since 2011. He was elected as the best teacher by the class of 2014. Archil is also founder and academic co-director of the National Center of Business Law at Tbilisi Free University.

Prior to joining MG Law Office, Mr. Giorgadze was a national partner of global law firm Dechert LLP. He also managed the development of a hydropower plant project in Georgia as chief executive officer and acting chief lawyer of JSC Nenskra.

  • A major European telecommunications company in connection with due diligence and Georgian-law advice relating to its assets and legal entities in Georgia.
  • The Georgian Co-Investment Fund on the US$83 million acquisition of a major real estate project in Tbilisi.
  •  The Georgian Co-Investment Fund on its acquisition of a hydropower project in Georgia.
  • The Ministry of Economy and Sustainable Development of Georgia on drafting and negotiating the Build, Own, Transfer Agreement for the Anaklia Black Sea Deep Water Port Project.
  •  JSC Georgian Oil and Gas Corporation on a liability management exercise in relation to its US$250 million 6.875% notes due in 2017, which included the issuance of new notes.
  • United Airports of Georgia on renegotiation of the Build, Operate, Transfer Agreement for Tbilisi International Airport.
  • A foreign investor in Georgia in relation to investments in real estate and hotel assets.
  •  Ministry of Energy of Georgia in relation to arbitration proceedings relating to the distribution network of electricity in Georgia.
  • JSC Georgian Railway in connection with its issuance of US$250 million 9.875% Notes due 2015. The transaction marked the first-ever international debt offering by JSC Georgian Railway.
  • J.P. Morgan Securities plc and Merrill Lynch International as Joint Lead Managers in connection with the issuance, offering and sale of JSC BGEO Group’s US$350,000,000 6.00% Notes due 2023 on the Irish Stock Exchange.
  • Government of Georgia on various international investment disputes.
