Ana Kochiashvili, Senior Associate at MG Law Office, has worked on Georgian the translation of the “Anatomy of Corporate Law: A Comparative and Functional Approach” (3rd ed.).
The Georgian translation from the original work has been arranged by Deutsche Gesellschaft für Internationale Zusammenarbeit (GIZ) GmbH with Oxford University Press and has recently been published. The Anatomy of Corporate Law is one of the most important works in the comparative and economic analysis of corporate law.
Ana Kochiashvili worked on the translation jointly with Dr Davit Maisuradze, Associated Professor at Ilia State University. She recommends the book to everyone who is interested in corporate law. In this book the authors focus on the function of corporate law as a facilitator of coordination between participants in corporate enterprise. The book analyses three principal sources of opportunism in an organization characterized as “agency problems”: conflicts between managers and shareholders, conflicts between controlling and non- controlling shareholders, and conflicts between shareholders and the corporation’s other contractual counterparties, including particularly creditors and employees. In this book the readers will explore the range of legal strategies that are employed to tackle these problems in a number of core jurisdictions, namely Brazil, France, Germany, Italy, Japan, the UK and the U.S.
